State lawmakers are considering passing a state clarity legislation and enforcing additional rules for proxy consulting firms, and they may summons two foreign-owned advisors over continued conflicts of interest claims that the firms advised businesses against moving to Texas.
State lawmakers approved Senate Bill ( SB ) 2337, which mandates that proxy advisory firms disclose when their recommendations are based on “non-financial factors” or” conflict with other proxy advisory services,” during the 89th Legislative Session.
